Exchange funds are privately placed investment vehicles that pool contributions of appreciated single stock positions into a diversified portfolio of public equities, typically designed to track broad market benchmarks. To qualify for tax-deferral treatment under current internal revenue codes, these funds are required to hold at least 20% of their assets in illiquid investments, such as direct real estate, which can provide an additional layer of diversification and stability.

By contributing low-basis stock into the fund, the firm effectively exchanges concentrated exposure for a professionally managed, multi-asset equity portfolio, designed to achieve diversification while deferring the recognition of capital gains tax. Over time, the portfolio participates in the returns of a diversified index while continuing to defer the embedded gains of the originally contributed stock, serving as a critical tool for internal long-term wealth preservation.
